{"id":914,"date":"2021-09-08T22:49:44","date_gmt":"2021-09-08T22:49:44","guid":{"rendered":"https:\/\/qcgtransferpricing.com\/en\/?p=914"},"modified":"2025-03-16T13:06:33","modified_gmt":"2025-03-16T19:06:33","slug":"the-disappearance-of-the-outsourcing-scheme-in-mexico-and-its-effect-on-the-transfer-pricing-regime","status":"publish","type":"post","link":"https:\/\/qcgtransferpricing.com\/en\/blog\/the-disappearance-of-the-outsourcing-scheme-in-mexico-and-its-effect-on-the-transfer-pricing-regime\/","title":{"rendered":"The Disappearance of the Outsourcing Scheme in Mexico and Its Effect on the Transfer Pricing Regime"},"content":{"rendered":"\n<h2 class=\"wp-block-heading\">Background<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">On April 23 of the current year, the <strong>Official Gazette of the Federation<\/strong> published a decree that <strong>amends, adds, and repeals various provisions<\/strong> in the <strong>Federal Labor Law<\/strong>; the <strong>Social Security Law<\/strong>; the <strong>Law of the National Housing Fund Institute for Workers<\/strong>; the <strong>Federal Tax Code<\/strong>; the <strong>Income Tax Law<\/strong>; the <strong>Value Added Tax Law<\/strong>; the <strong>Federal Law of Workers at the Service of the State, Regulatory of Section B) of Article 123 of the Constitution<\/strong>; and the <strong>Regulatory Law of Section XIII Bis of Section B, Article 123 of the Political Constitution of the United Mexican States<\/strong>, concerning <strong>Labor Subcontracting<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This decree, through Article 12 of the <strong>Federal Labor Law (LFT)<\/strong>, prohibits <strong>personnel subcontracting<\/strong>, understood as when a natural or legal person <strong>provides or makes available their workers<\/strong> for the benefit of another. Related to this provision, Article 15-D of the <strong>Federal Tax Code (CFF)<\/strong> extends this prohibition even to cases in which the contractor receives services from the contractor <strong>through personnel that previously worked for them and were transferred to the contractor through any legal mechanism<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The <strong>only allowed subcontracting<\/strong>, according to Article 13 of the <strong>LFT<\/strong>, is that of <strong>specialized services or specialized works<\/strong>, provided that <strong>they do not form part of the corporate purpose of the company receiving the services, nor of its predominant economic activity<\/strong>, and that the contractor is <strong>registered in the public registry<\/strong> enabled for this purpose (<strong>see REPSE STPS<\/strong>), having previously confirmed <strong>compliance with tax and social security obligations<\/strong> (Article 15, LFT). Additionally, <strong>specialized services must be formalized through a contract<\/strong>, as required by <strong>Article 14 of the LFT<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Regarding <strong>intra-group operations<\/strong>, Article 13 of the <strong>LFT<\/strong> establishes that <strong>complementary or shared services or works provided between companies within the same business group<\/strong> will be considered <strong>specialized services<\/strong>, provided that <strong>they meet the general requirements of not being part of the corporate purpose of the recipient or its predominant economic activity and (presumably) are registered in the REPSE of the STPS<\/strong>. The <strong>LFT defines a &#8220;group&#8221;<\/strong> as stated in <strong>Article 2, Section X of the Securities Market Law<\/strong>, which describes a <strong>business group as a set of legal entities organized under direct or indirect shareholding structures in which a single entity maintains control over the others<\/strong>. Likewise, financial groups constituted under the <strong>Law to Regulate Financial Groups<\/strong> are also considered <strong>business groups<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Finally, the reform proposed in <strong>Article 127 of the LFT<\/strong> establishes that employees will <strong>participate in the profits<\/strong> of the companies where they work <strong>up to three months of the worker&#8217;s salary or the average of the participation received in the last three years, whichever is more favorable<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h4 class=\"wp-block-heading\"><strong>Tax Implications<\/strong><\/h4>\n\n\n\n<p class=\"wp-block-paragraph\">The reform proposed by the <strong>Executive Branch<\/strong> is primarily of a <strong>labor nature<\/strong>. Within this framework, and with the objective of discouraging the use of <strong>outsourcing schemes<\/strong>, Article <strong>1004-C of the LFT<\/strong> imposes <strong>significant penalties<\/strong>, including <strong>fines ranging from 2,000 to 50,000 Units of Measurement and Update (UMAS)<\/strong> on those who persist in <strong>personnel subcontracting activities or fail to obtain registration in the REPSE of the STPS<\/strong>. Additionally, preventing <strong>inspection or oversight by authorities<\/strong> at the workplace <strong>entails penalties ranging from 250 to 5,000 UMAS<\/strong> according to <strong>Article 1004 of the LFT<\/strong>. <em>(The value of the UMA in 2021 was <strong>89.62 pesos per day<\/strong>).<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, the most <strong>significant penalties are not labor-related, but fiscal<\/strong>. Article <strong>15-D of the CFF<\/strong> establishes that taxpayers <strong>hiring specialized services will be unable to deduct expenses<\/strong> for <strong>income tax purposes (ISR)<\/strong> or <strong>credit VAT (IVA)<\/strong> if such expenses originate from <strong>personnel subcontracting or unregistered specialized services<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Furthermore, the <strong>deduction of expenses<\/strong> for <strong>income tax purposes<\/strong> could be <strong>conditioned<\/strong> if the service recipient fails to verify that the provider <strong>complies with the requirements<\/strong> established in <strong>Article 27-V of the ISR Law<\/strong>, including:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li><strong>Registration in the STPS registry (REPSE) as required by Article 15 of the LFT.<\/strong><\/li>\n\n\n\n<li><strong>Copies of tax receipts for salary payments to workers involved in the service.<\/strong><\/li>\n\n\n\n<li><strong>Payment receipts for tax withholdings on wages, issued by a banking institution.<\/strong><\/li>\n\n\n\n<li><strong>Proof of payment of employer contributions to the IMSS (Social Security Institute).<\/strong><\/li>\n\n\n\n<li><strong>Payment of contributions to the National Housing Fund Institute (INFONAVIT).<\/strong><\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">Failure to comply with these requirements <strong>could result in fines ranging from $150,000 to $300,000 per missing document<\/strong>, as stated in <strong>Articles 81 and 82 of the CFF<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Similarly, taxpayers receiving these services <strong>cannot credit VAT<\/strong> if they fail to obtain:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li><strong>REPSE registration confirmation from the provider.<\/strong><\/li>\n\n\n\n<li><strong>A copy of the VAT declaration and proof of payment for the period in which the service was paid.<\/strong><\/li>\n\n\n\n<li><strong>All required documentation by the last day of the month following the payment.<\/strong><\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">Failure to collect this documentation would require the taxpayer to file a <strong>complementary tax return<\/strong> to reduce the credited amounts.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Additionally, the reform <strong>modifies Article 75 of the CFF<\/strong> to consider <strong>the deduction or crediting of personnel subcontracting operations as an aggravating factor in tax violations<\/strong>. Article <strong>108 of the CFF<\/strong> now classifies the <strong>use of simulated specialized service schemes<\/strong> as <strong>tax fraud<\/strong>, especially when services involve personnel <strong>who were previously employed by the contracting entity and were transferred through any legal mechanism<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Finally, the tax reform takes effect on <strong>August 1, 2021<\/strong>, with an extension until <strong>September 1, 2021<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Main Implications for Transfer Pricing<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">With the outsourcing reform, <strong>many business groups in Mexico<\/strong> will have to choose between <strong>employer substitution, mergers, or spin-offs<\/strong>. Each alternative has <strong>different transfer pricing implications<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In <strong>employer substitution cases<\/strong>, companies may transfer <strong>tangible assets<\/strong> to comply with <strong>Article 41 of the LFT<\/strong> and <strong>the fourth transitory article of the decree<\/strong>. These transactions should ideally be valued using the <strong>Comparable Uncontrolled Price (CUP) method<\/strong>, ensuring that <strong>pricing aligns with comparable market transactions<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The <strong>most significant impact on transfer pricing<\/strong> will occur when former <strong>outsourcing companies transform into specialized service providers<\/strong> through <strong>employer substitution<\/strong>, as per <strong>Article 7 of the transitory provisions<\/strong>. In these cases, business groups <strong>must realign their corporate purpose<\/strong>, ensuring that <strong>service providers do not overlap with the core activities of the service recipients<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Service providers must <strong>clearly define their functions, assets, and risks<\/strong>. If they offer <strong>different services<\/strong> (e.g., <strong>IT administration vs. legal support<\/strong>), a <strong>transactional analysis may be required<\/strong> under <strong>Article 76-IX of the ISR Law<\/strong>, unless <strong>clear contractual terms establish the nature of services provided<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Moreover, <strong>contracts for specialized services<\/strong> must be <strong>formally registered with the STPS<\/strong> as required by <strong>Article 14 of the LFT<\/strong>. Given that these are <strong>related-party transactions<\/strong>, agreements must reflect <strong>arms-length conditions<\/strong>, including <strong>precise descriptions of activities, resource allocation, and risk-sharing<\/strong>, in line with <strong>OECD Transfer Pricing Guidelines (Section 1.D.1.)<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Another key issue is <strong>Mexico\u2019s recent tax-criminal reform<\/strong>, which penalizes <strong>simulation<\/strong> under <strong>Article 108 of the CFF<\/strong>. Service providers must prove they have <strong>the expertise, infrastructure, and resources<\/strong> to legitimately provide specialized services. Transfer pricing analysis will be <strong>critical<\/strong> in ensuring compliance.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Finally, in cases where <strong>no employer substitution occurs<\/strong>, leading to <strong>mergers or spin-offs<\/strong>, taxpayers must <strong>value shares at arm\u2019s length<\/strong>, potentially applying the <strong>CUP method<\/strong> for fair valuation.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Final Comments<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">This reform demands <strong>significant adjustments<\/strong> from taxpayers.
